These General Terms and Conditions govern the business relationship between Holeria and the retailers registered on the platform.
The platform is currently operated by:

(hereinafter referred to as "Holeria")
Once a Holeria GmbH is established, it will take the place of the current operator.
Holeria provides a digital platform through which retailers can present their products and customers can place advance orders for collection.
Holeria is not the seller of the goods offered.
Purchase contracts are concluded exclusively between the retailer and the customer.
Registration is permitted only for business operators.
The retailer warrants that all information provided is correct.
Any changes must be communicated without delay.
Login credentials must be kept confidential.
4.1 Holeria Commission
Holeria receives an intermediary commission for every successfully completed order.
Depending on the individual agreement, the commission ranges from:
• 5% to 8% of the net value of the goods.
The retailer category agreed in each case is decisive.
4.2 Payment Processing
Payments are processed through the payment service provider Mollie.
Holeria may receive payments on behalf of retailers and pay them out to the retailer after deducting the agreed commission.
4.3 Transaction Fees
In addition to Holeria's commission, transaction costs charged by the payment service provider apply.
These costs are charged to the retailer.
The amount of the fees depends on the payment method selected by the customer.
Currently Supported Payment Methods:
• Visa — approx. 1.8% + €0.25
• Mastercard — approx. 1.8% + €0.25
• Apple Pay — fees applicable to the linked card
• Google Pay — fees applicable to the linked card
• PayPal — according to Mollie's current tariff
• Wero — according to Mollie's current tariff
• Girocard / EC card on site — depends on the terminal provider
*Only Mollie's current terms and rates are authoritative.
Changes to the payment service provider's fees entitle Holeria to make corresponding adjustments.
4.4 Payouts
Payouts are made in accordance with the settlement model agreed in each case.
Holeria may offer the following models:
• daily payouts
• weekly payouts
• monthly payouts
The retailer receives a clear, verifiable settlement statement.
The retailer undertakes to:
• offer only lawful goods
• state correct prices
• keep product descriptions up to date
• have orders ready on time
• comply with statutory labelling requirements
• comply with youth protection regulations
• comply with food law
The retailer is solely responsible for:
• product safety
• hygiene
• cold chains
• allergen labelling
• origin labelling
• food safety
Holeria assumes no responsibility whatsoever for the condition or characteristics of the food offered.
The retailer undertakes to have confirmed orders ready for collection.
Custom-made products are deemed to have been ordered on a binding basis once production begins.
The retailer may specify advance-order deadlines.
If goods are not collected, the retailer's entitlement to payment remains unaffected.
In the case of perishable goods, there is generally no entitlement to a replacement delivery.
Holeria is not liable for losses arising from goods not being collected.
Customers may review retailers.
Manipulation of reviews is prohibited.
Holeria may examine and remove reviews.
The retailer processes customer data exclusively for the performance of the contract.
Disclosure to third parties is prohibited unless required by law.
The GDPR must be complied with.
The retailer is liable in particular for:
• product defects
• statutory warranty obligations
• product liability
• food safety
• labelling obligations
• infringements of competition law
• tax obligations
The retailer shall indemnify Holeria against all third-party claims asserted against Holeria arising from:
• defective products
• infringements of rights
• data protection violations
• violations of food law
Holeria has unlimited liability in cases of intent and gross negligence.
In cases of ordinary negligence, Holeria is liable only for breaches of essential contractual obligations.
Liability for loss of profit is excluded.
Holeria does not guarantee any particular number of orders.
The contract is concluded for an indefinite period.
Notice period:
• 30 days to the end of a month.
The right to extraordinary termination remains unaffected.
Holeria may suspend retailer accounts in cases of:
• violations of the law
• suspected fraud
• manipulation
• repeated customer complaints
• late payment
Holeria is entitled to amend these Terms and Conditions upon reasonable notice.
German law applies.
To the extent permitted by law, the place of jurisdiction is Holeria's place of business.
If individual provisions are invalid, the validity of the remaining provisions remains unaffected.
